1. FuelAI Service Overview

fuelAI, LLC (“FuelAI,” “we,” “our,” or “us”) provides an AI-powered platform designed to help businesses streamline operations, enhance team productivity, and accelerate business outcomes through artificial intelligence tools, automation, and integrated workflows (the “Service”). These Terms of Service (“Terms”) govern your access to and use of the Service.

Please read these Terms carefully before using the Service.

2. Acceptance of Terms

By clicking “I accept,” signing an order form, enrolling in Early Access, or accessing or using the Service, you agree that you have read, understood, and agree to be bound by these Terms and FuelAI’s Privacy Policy. If you do not agree, you do not have permission to use the Service.

If you are accepting on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.

3. Eligibility

You must be at least 18 years old to use the Service. By agreeing to these Terms, you represent and warrant that you are at least 18 years old, have not previously been suspended or removed from the Service, and that your registration and use of the Service complies with all applicable laws and regulations.

4. Early Access Program

FuelAI may offer access to the Service through an invite-only Early Access Program (“Early Access”). Your participation in Early Access is subject to these Terms and any additional terms communicated to you at enrollment.

4.1 Early Access Nature of Service

You acknowledge that the Service may be provided in an early access, pre-commercial release state. Features, functionality, pricing, and terms are subject to change. The Service may contain bugs, errors, or incomplete features. FuelAI makes no guarantee of continued availability, uptime, or feature parity during the Early Access period.

4.2 Early Access Pricing

Discounted pricing offered during Early Access is specific to the Early Access term and does not constitute a commitment by FuelAI to maintain such pricing beyond the Early Access period. FuelAI will provide at least thirty (30) days’ written notice prior to any transition to standard commercial pricing. Continued use of the Service following notice of pricing changes constitutes acceptance of the new pricing.

4.3 Feedback During Early Access

If you provide feedback, suggestions, or input about the Service (“Feedback”), you grant FuelAI an unrestricted, perpetual, irrevocable, royalty-free right to use, reproduce, and incorporate such Feedback into the Service or other products without any obligation of compensation or attribution.

5. Accounts and Registration

Access to the Service may require an active account and, where applicable, an executed commercial agreement or Early Access enrollment. You agree to provide accurate, current, and complete information and to keep it up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

6. License to Use the Service

Subject to your compliance with these Terms and payment of applicable fees, FuelAI grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your internal business purposes during the term of your agreement.

You may not reproduce, resell, sublicense, modify, reverse engineer, or use the Service to build a competing product or service. You may not circumvent security features, violate usage limits, or use the Service in violation of applicable law.

7. AI-Specific Terms

The Service incorporates artificial intelligence and machine learning technologies. AI-generated outputs are probabilistic in nature and may be inaccurate, incomplete, outdated, or inappropriate for your specific use case. FuelAI does not warrant that any AI output is accurate, complete, or fit for any particular purpose.

You are solely responsible for reviewing, validating, and determining the appropriateness of any AI output before acting on it or distributing it to third parties. AI outputs should not be relied upon as a substitute for professional advice, including legal, financial, medical, or compliance advice.

As between FuelAI and you, you retain ownership of outputs generated by the Service using your data and prompts, subject to FuelAI’s underlying rights in the Service. You are responsible for ensuring that your use of AI outputs complies with applicable laws and does not infringe third-party rights.

8. Data, Privacy, and Security

“Customer Data” means any data, content, or information submitted by you or your users to the Service. As between FuelAI and you, you retain all rights, title, and interest in and to your Customer Data. You grant FuelAI a limited, non-exclusive license to process Customer Data solely as necessary to provide the Service to you.

FuelAI processes Customer Data as necessary to provide the Service in accordance with these Terms and the Privacy Policy. FuelAI’s Privacy Policy is available at /privacy-policy.

You agree not to submit data to the Service that you are not authorized to process or share, payment card data subject to PCI-DSS, sensitive personal data of children under 13, or regulated data unless FuelAI has expressly agreed in writing to accommodate such requirements.

9. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service for any illegal purpose or in violation of applicable law;
• Use the Service to process data you are not authorized to access or use;
• Upload or transmit malware, viruses, or harmful code;
• Attempt to gain unauthorized access to the Service or its underlying systems;
• Interfere with or disrupt the integrity or performance of the Service;
• Use automated means to access the Service beyond authorized API use;
• Use the Service to send unlawful, deceptive, or unsolicited communications; or
• Impersonate any person or entity or misrepresent your affiliation with any person or entity.

10. SMS and Messaging Terms

By providing your mobile phone number and affirmatively opting in, you agree to receive SMS/text messages from FuelAI. Messages may include account updates, onboarding reminders, support communications, product notifications, appointment or demo reminders, and, where separately consented to, marketing or promotional messages.

Message frequency varies. Message and data rates may apply. Reply STOP to unsubscribe from SMS messages. Reply HELP for help or contact us at support@fuelai.com. Consent to receive marketing text messages is not a condition of purchasing any goods or services.

Mobile opt-in information and consent will not be sold, rented, or shared with third parties or affiliates for their marketing or promotional purposes.

11. Payment Terms

You agree to pay FuelAI the fees set forth in your applicable order form or Early Access enrollment agreement. All fees are stated in U.S. dollars and are non-refundable except as expressly set forth in these Terms or required by applicable law.

FuelAI will not activate your account, begin onboarding, or perform setup until payment is received and confirmed. Unpaid amounts past due may be subject to a finance charge of 1.5% per month or the maximum permitted by applicable law, whichever is lower, plus reasonable costs of collection.

FuelAI reserves the right to modify fees upon at least thirty (30) days’ prior written notice. Continued use of the Service after the effective date of a fee change constitutes acceptance of the revised fees.

12. Intellectual Property and Ownership

The Service, including all software, algorithms, models, interfaces, documentation, and related materials, is owned by FuelAI and protected by applicable intellectual property laws. Except for the limited license expressly granted in these Terms, FuelAI reserves all rights in and to the Service.

As between the parties, you retain all rights in and to your Customer Data. FuelAI may collect, process, and use aggregated, anonymized, or de-identified data derived from your use of the Service for purposes of improving and developing the Service, provided that such data does not identify you or your users.

13. Confidentiality

Each party may receive confidential or proprietary information of the other party in connection with the Service. Each party agrees to hold confidential information in strict confidence, use it only as necessary to fulfill obligations or exercise rights under these Terms, and disclose it only to individuals or advisors with a need to know who are bound by confidentiality obligations.

14. Term and Termination

These Terms are effective upon your acceptance or first use of the Service and remain in effect until terminated. Either party may terminate these Terms or any applicable order form upon thirty (30) days’ prior written notice. Either party may terminate immediately upon written notice if the other party materially breaches these Terms and fails to cure the breach within thirty (30) days after receiving written notice.

Upon termination, your access to the Service will cease, you must pay all outstanding fees through the effective date of termination, and provisions that by their nature should survive will survive termination.

15. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless FuelAI and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses arising out of or relating to your use of the Service, your violation of these Terms or applicable law, your Customer Data, your violation of third-party rights, or any AI output you generate, distribute, or act upon.

16. Disclaimers; No Warranties

The Service and all content and materials available through the Service, including AI outputs, are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory.

FuelAI specifically disclaims any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted operation, error-free operation, security, accuracy, completeness, reliability, or timeliness of AI outputs.

17. Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall FuelAI be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, goodwill, or business opportunity.

To the fullest extent permitted by applicable law, FuelAI’s total aggregate liability for all claims arising out of or relating to these Terms or the Service shall not exceed the greater of: (a) the total fees paid by you to FuelAI in the twelve (12) months preceding the event giving rise to the claim; or (b) one hundred dollars ($100).

18. Dispute Resolution and Arbitration

Except for certain exceptions, disputes arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration under the Federal Arbitration Act and administered by the American Arbitration Association under its Commercial Arbitration Rules.

You and FuelAI agree that each party may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding.

You may opt out of arbitration by sending written notice to FuelAI at legal@fuelai.com within thirty (30) days of first accepting these Terms.

19. Miscellaneous

These Terms, together with the Privacy Policy, any applicable data processing agreement, and any executed order form or Early Access agreement, constitute the entire agreement between you and FuelAI regarding the Service.

These Terms are governed by the laws of the State of Utah, without regard to conflict of law principles. FuelAI may modify these Terms from time to time and will provide notice of material changes as required by applicable law.
